Corporation By-Laws
VOODOO MISFITS INC.
BY-LAWS - August 7th 2012 (Last Amendment on February 22nd 2016)


ARTICLE I
The registered office of the Corporation shall be in Kansas City, Missouri. The Corporation may also have offices at such other places as the Board of Trustees/Directors may from time to time appoint or the activities of the Corporation may require or at any time an additional Chapter is formed from the Corporation.

Each Chapter organized under the Corporation must establish individual Chapter Operating Policy. Each Voodoo Misfits Chapter shall complete their version of a document known as the Chapter Operating Policy and keep it with a copy of the Voodoo Misfits Inc. Bylaws. The Chapter Operating Policy will not override or conflict with the Voodoo Misfits Inc. Bylaws.


ARTICLE II
The Corporate Seal shall have inscribed thereon the name of the Corporation "Voodoo Misfits Inc.", the year of its Incorporation "2012" and the words "Organized Seal, Missouri".
Each Chapter that forms under the Corporation must have an Organization Seal that shall have inscribed thereon the name of the Organization, the year of its Organization and the words "Organized Seal". All documents approved by the Corporation and Chapter will have the Corporation and Chapter Seal affixed to every page.


ARTICLE III
This Corporation will be known as VOODOO MISFITS and will be incorporated as VOODOO MISFITS INC. This incorporation will herein be referred to as the Corporation.

The National Board shall consist of the Members of the Voodoo Misfits Inc. (Located in Kansas City Missouri) Corporation Elected Board of Trustees/Directors.

Any and all Chapters that grow from this Corporation must form a legal Association of Voodoo Misfits Inc. within the State in which they operate.

The fiscal year for Voodoo Misfits Inc. and all Voodoo Misfits Chapters is a true calendar year from January 1st to December 31st each year.

ARTICLE IV

The purposes of the Corporation and all Voodoo Misfits Chapters is to bring together a group of people who enjoy similar philosophies and interests with a focus on community spirit, charity, family values, friendship, brother/sister hood, and commitment. The Corporation will focus on giving to those in need through charity events and community service activities while promoting a positive self-image. The Corporation will organize fundraising events for local causes that we are able to assist to the best of our abilities. This assistance may include roadside donation collection, organized rides/events for fundraising purposes, attending other local rides and events for the purposes of showing our support or searching for support for our Corporation/Chapter, and sales of approved merchandise. We will also attend local fairs and festivals for the purpose of promoting the Corporation/Chapter name in a positive manner to the community. The Corporation/Chapter will promote fellowship among all of its members. For members that operate a motorcycle our goal is to improve relations between the general public and motorcycle riders through discussion and social events. This Corporation/Chapter will not discriminate against any race, gender, religion or ethnicity. In addition, the Corporation/Chapter will welcome all individuals, and for those that ride motorcycles, regardless of their choice of manufacturer. For those members that ride motorcycles, the Corporation/Chapter will promote motorcycle safety and education through motorcycle rider safety courses, seminars, and rallies; and through newsletters and discussion among members. This Corporation/Chapter will provide educational information on mechanical improvements, safety gear, riding techniques, motorcycle history, restoration of vintage motorcycles, and motorcycle maintenance and repair with the Corporation/Chapter members.

ARTICLE V

1. FOUNDING FATHERS
Founding Fathers will wear a patch that says "FOUNDER". The Founding Fathers will always retain a vote in all Votes and Elections of the Corporation, and all Chapters regardless if a position is held unless the Founding Father is no longer a member of the Corporation or any Chapter. The Founding Fathers will always retain the ability to remove any member from the Corporation or and Chapter if it is in the best interest of the Corporation/Chapter unless the Founding Father is no longer a member of the Corporation or any Chapter. The Founding Fathers cannot be removed from the Corporation unless a Founding Father is in major violation of the bylaws of the Corporation and the remaining founding fathers agree it is in the best interest of the Corporation for said violating Founding Father to be removed. In the case that only one (1) Founding Father is an active member in the Corporation, the decision/vote will be done by all members of all active Chapters. The vote must be unanimous by all areas of membership of the Corporation and all Chapters to remove the final Founding Father.

2. President (Required)
Corporation/Chapter Officer Elections do not include the Corporation/Chapter President position. Corporation/Chapter President persons will remain unless he/she resigns, is voted out by no confidence vote, is removed by the Founding Fathers or Voodoo Misfits Inc. (located in Kansas City Missouri), or is no longer able to perform their duties. A Corporation/Chapter President may resign by holding a Special Corporation/Chapter member meeting and announcing his/her intent to resign. In the case of a vacancy in the office of the Corporation/Chapter President, the next highest ranking elected position shall assume the office of the Corporation/Chapter President and a new election for the former position will occur.

A. Presidential Duties

1. To preside at all meetings of the Corporation/Chapter.
2. To have general supervision of the affairs of the Corporation/Chapter.
3. Shall see that all orders and resolutions of the Corporation/Chapter Board are carried into effect.
4. To appoint any person or committee members not otherwise ordered by the Corporation/Chapter.
5. To personally represent the Corporation/Chapter on proper occasions and with business contacts.
6. To assist all other officers of the Corporation/Chapter in their records, correspondence, and other duties
7. To promote interest on the part of each member in the Corporation and its activities.
8. To execute bonds, mortgages and other documents requiring a seal, under the seal of the Corporation/Chapter.
9. To be EX-OFFICIO a member of all committees and shall have the general powers and duties of supervision and management usually vested in the office of president.
10. To keep in safe custody the Corporation/Organization Seal, and when authorized by the Corporation/Chapter Board, affix the same to any instrument requiring it.
11. This person can also hold any other Corporation/Chapter Board of Directors position with the exception of Secretary.

3. OFFICERS
Corporation/Chapter Officers must be a member in good standing. Corporation/Chapter Officers will be elected by Corporation/Chapter Full Members in good standing. The term of each officer shall be one (1) year and shall begin on January 1st and end on December 31st one (1) year later. Corporation/Chapter Officers will receive one vote in an Corporation/Chapter Board election. Any officer, Corporation/Chapter Board Member, or committee member may resign by written notice thereof to the Corporation/Chapter Secretary and Corporation/Chapter President, or, in the case of the resignation of the Corporation/Chapter Secretary, by written notice to the Corporation/Chapter President. Corporation/Chapter Secretary Vacancies shall be filled by a Corporation/Chapter Presidential appointment for the remainder of the term. The Three (3) Founding Fathers will remain Officers and Members of the Corporation/Chapter Board unless the Founding Father is no longer a member of the Corporation or any Chapter. The Founding Fathers may relieve any Corporation/Chapter Officer of their position and duties if the Founding Fathers believe it is in the best interest of the Corporation/Chapter.

A. Vice Presidential Duties (Optional) (Elected)
1. To perform the duties of the Corporation/Chapter President in his absence and to assist the Corporation/Chapter President in all of his duties.
2. To perform such other duties as he may be required to do from time to time.
3. This person can also hold any other Corporation/Chapter Board of Directors position with the exception of Secretary.

B. Secretarial Duties (Required) (Elected)

1. To record (or to arrange to be recorded) and maintain records of all meetings in a book or books kept for that purpose. Such book or books shall also contain records of all meetings of Incorporators and the original or attested copy of the Articles of Incorporation/Association and by-laws of the Corporation and the names of all Corporation/Chapter Board members and the address and contact phone number of each Corporation/Chapter Board Member, Officer, and Member. Such books will be kept on a cloud based system that is approved by the National Board. Handwritten book entries and documents will not be allowed. All monthly records will be submitted to the National Board no later than the 10th day of the following month.
2. To handle all correspondence for the Corporation/Chapter.
3. To perform all functions related to the election of Corporation/Chapter Board Members and Corporation/Chapter Officers as described in these by-laws.
4. To file with the Internal Revenue Service on a yearly basis.
5. To send out notices of regular or special meetings.
6. To record all votes in a Corporation/Chapter election.
7. To act as the General Public Relations Person for the Corporation/Chapter.
8. To maintain the financial records of the Corporation/Chapter along with the Corporation/Chapter President.
9. To collect all dues and other monies owed to the Corporation/Chapter.
10. To maintain these funds in a bank account in the name of the Corporation/Chapter.
11. To maintain all Corporation/Chapter membership files and records.
12. To keep the Corporation/Chapter President and the editor of the newsletter apprised of all changes in the membership.
13. To provide information to the newsletter committee regarding change of any membership in the newsletter.
14. To examine and (if found correct) approve all bills against the Corporation/Chapter.
15. To make payments from Corporation/Chapter funds when so ordered by the Chapter President, Corporation, or Chapter Board of Directors.
16. This person cannot have any other position on the Corporation/Chapter Board of Directors while they are Secretary except Public Relations Director.

C. General Duties (Optional) (Elected)
1. Monitor the Voodoo Misfits Corporation/Chapter's property.
2. Assist in the Organization of all Voodoo Misfits Corporation/Chapter sponsored events.
3. Ensure all Voodoo Misfits Corporation/Chapter events are setup and functioning on time and smoothly.
4. Assist in the day to day business of the Voodoo Misfits Corporation as needed.
5. Assist and give guidance in the development of all Members and Probationary Members
6. Be the point of contact to the Voodoo Misfits Corporation/Chapter Upper Board for the following positions: Captain, Lieutenant, Officer, Member, and Probationary Member.
7. Give direction and be accountable for the following positions: Captain, Lieutenant, Officer, Member, and Probationary Member.
8. Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws.
9. This person can also hold any other Corporation/Chapter Board of Directors position with the exception of Corporation/Chapter Secretary.

D. Captain (Optional) (Elected or Appointed)
1. To monitor the Corporation/Chapter's property.
2. To assist in the Organization of all Corporation/Chapter sponsored events.
3. To assist in the day to day business of the Corporation/Chapter as needed.
4. This person can also hold any other Corporation/Chapter Board of Directors position with the exception of Secretary.

E. Lieutenant (Optional) (Elected or Appointed)

1. To monitor the Corporation/Chapter's property.
2. To assist in the Organization of all Corporation/Chapter sponsored events.
3. To assist in the day to day business of the Corporation/Chapter as needed.
4. This person can also hold any other Corporation/Chapter Board of Directors position with the exception of Secretary

F. Officer (Optional) (Elected or Appointed)
1. To monitor the Corporation/Chapter's property.
2. To assist in the Organization of all Corporation/Chapter sponsored events.
3. To assist in the day to day business of the Corporation/Chapter as needed.
4. This person can also hold any other Corporation/Chapter Board of Directors position with the exception of Secretary

4. THE CORPORATION/CHAPTER BOARD
The Corporation/Chapter Board shall consist of no less than four (4) members. Other members of the Corporation/Chapter Board shall be members of the Corporation/Chapter and shall be appointed by the Corporation/Chapter President, or National Board. The appointed Corporation/Chapter Board members shall serve a one (1) year term beginning on January 1st and ending on December 31st one (1) year later. A Corporation/Chapter Board Member may be relieved of their duties if an Corporation/Chapter Officer or Founding Father believes the Corporation/Chapter Board member is not acting in the best interest of the Corporation/Chapter. An Corporation/Chapter Board vote will determine the Corporation/Chapter Board Member's future status. The Corporation/Chapter Board is the governing body of the Corporation/Chapter and shall have the customary duties of a Corporation/Chapter Board of Directors. If a Corporation/Chapter Board vote should ever end in a tie, it will be the Corporation/Chapter President's vote that will act as the tiebreaker.

A. CORPORATION/CHAPTER BOARD DUTIES
1. Manage and maintain the general affairs and finances of the Corporation/Chapter.
2. Make final decisions regarding the acceptance of new Corporation/Chapter members.
3. Make the final decisions regarding the expulsion of a current Corporation/Chapter member.
4. Assist all Corporation/Chapter functions including charity events, socials and meetings.
5. Corporation/Chapter Board members or Corporation/Chapter members that are not fulfilling their position duties and are not active in Voodoo Misfits Inc. or the Voodoo Misfits Chapter can be removed by a Vote of No Confidence. A vote of no confidence must be started during a meeting of the Membership of the Voodoo Misfits Corporation/Chapter by one member setting a motion for a Vote of No Confidence and another member seconding the motion. A vote from the membership present and a majority 2/3rds Vote is required to the vote to pass. The member that the vote involves must be present if at all possible. Votes of No Confidence that involve a Corporation/Chapter President must include the National Board of Voodoo Misfits Inc. and any remaining Founding Members. Votes of No Confidence involving a Corporation/Chapter President must be a Unanimous Vote of all persons present to remove the Corporation/Chapter President. At any time the National Board may also remove a Member from their Position if they are not fulfilling their position duties or are a present danger to the operating structure of Voodoo Misfits Inc. or the Voodoo Misfits Chapter. Removal of a Corporation/Chapter Board Member by the National Board must be a unanimous decision of the National Board of Voodoo Misfits Inc. Persons related either by blood, marriage, or are in a relationship with the person the vote involves will not be allowed to vote due to conflict of interest.

APPOINTED POSITIONS
There shall be no more than six (6) appointed positions. These positions are appointed by the Corporation/Chapter President and shall serve only while the Corporation/Chapter President that appointed them is the active Corporation/Chapter President. The standing appointments shall be subject to the general control and direction of the Current Officers and Founding Fathers. An Appointed Corporation/Chapter member may be relieved of their duties if an Corporation/Chapter Officer believes the appointed member is not acting in the best interest of the Corporation/Chapter a Board vote will determine the appointed member's future status.

A. Newsletter Duties
The Publisher of the Newsletter shall be responsible for all aspects of producing a monthly newsletter, including soliciting material, printing, and distribution. They shall include in each month's issue the date, time, and location of that month's general meeting and any other information deemed necessary by an officer, including officer election information and ballots, membership renewal forms, and news of activities sponsored by or involving the Corporation/Chapter The Corporation/Chapter member in charge of the newsletter shall endeavor to ensure that each Full Member, Associate Member and Probationary Member receives a copy of the newsletter during each month. The President of the Corporation/Chapter will act as the editor of the newsletter.
This person can also hold any other Board of Directors position with the exception of Secretary.

B. Road Captains Duties
Lead groups on large group rides.
Keep formation in parade routes.
Enforce group riding rules for all rides.
Assist with planning all tours, runs, and related activities sponsored by the Corporation/Chapter
They shall help to arouse interest in and lead said activities and shall enforce group riding rules during said tours and runs.
They shall assist at parties and other functions sponsored by the Corporation/Chapter and shall select assistants to aid in special tasks as they deem necessary.
This person can also hold any other Board of Directors position with the exception of Secretary.

C. Webmaster Duties
The Webmaster will update the website as needed. Information placed on the website must be relevant to the Corporation/Chapter unless otherwise approved by the Founding Fathers and Current Officers.
This person can also hold any other Board of Directors position with the exception of Secretary.

D. Public Relations Director Duties
The Public Relations Director will announce all Charity Events to the Newspapers, local Bike Dealers and applicable Internet sites. The P.R. Director will also promote the Corporation/Chapter, through newspaper or other possible means, by sharing positive the positive impact the Corporation/Chapter has on the community and surrounding areas.
This person can also hold any other Board of Directors position.

E. Sgt at Arms Duties
1. Position is appointed by the Voodoo Misfits Corporation/Chapter President
2. This position will report directly to the Corporation/Chapter President
3. Monitor the Voodoo Misfits Corporation/Chapter's property.
4. Be head of Security Team to the Corporation/Chapter President
5.
Uphold and enforce all writings of the Voodoo Misfits Inc. Bylaws and Voodoo Misfits Kansas City Chapter Operating Policies.
6. This person cannot hold any other Corporation/Chapter Board of Directors position.

SPECIAL COMMITTEES
Special committees may be created and their members shall be appointed by the Corporation/Chapter President. These committees may be eliminated by the Corporation/Chapter President. As with standing appointments, all special committees shall be subject to the general control and direction of the Board.

5. ELECTIONS

Elections shall be held each November of every year. The Corporation/Chapter President shall invite nominations for each of the seven (7) elected offices at the September and October meetings. Any full member in good standing may nominate another full member of good standing for an office by contacting the Corporation/Chapter President. The Corporation/Chapter President shall then determine if the nominee is eligible to serve under the conditions set forth in these by-laws. If the nominee is eligible, the Corporation/Chapter President shall contact the nominee and determine if he/she is willing to serve; if so, the nominee's name shall be placed on a ballot to be included at the November meeting. If so desired, each nominee will have an opportunity to include a small bio and goals in the October newsletter or the opportunity to speak at the October meeting. An anonymous ballot election shall take place at the November general meeting. The current Corporation/Chapter President and Corporation/Chapter Secretary may count the ballots or may appoint another member to do so. The results of the election shall be announced by the President at the December general meeting and published in the December issue of the newsletter. New Office positions will take effect on January 1st of each year.

ARTICLE VI
Membership in the Corporation/Chapter, its dues and meetings, are as follows:

1. MEMBERSHIP
There shall be Six (6) classes of membership: Founding Father, Founding Member/Original 9, Full Member, Associate Member, Probationary Member and Absentee Member. All membership classes shall have the right to attend any meeting of the Corporation/Chapter, excluding Board meetings, and to participate in any events sponsored by or involving the Corporation/Chapter Full Members and Above, shall have a vote in any issue brought before a general meeting, a vote in the election of officers, and shall be eligible to serve as officers or Board members. Only Board Members, Original 9 Members, Founding Members, and Full Members shall have a vote in Board meetings and Elections. Membership becomes effective upon receipt of dues and lapses if not renewed by February 1 of each year. If a member leaves the Corporation/Chapter, for any reason, he/she must return the Corporation patch, all items belonging to the Corporation/Chapter, and any items with the Corporation Name or Logo to a current Corporation/Chapter Board Member or Founding Member within 24 hours of leaving the Corporation/Chapter.

All Corporation/Chapter members, no matter their standing, will obey these rules:

A. Drinking alcohol will not be permitted while on rides or at any Corporation/Chapter event. (Including but not limited to Meetings, and Charity Events) Exceptions can be made by the Corporation/Chapter Board of Directors for Special Occasions.
B. No riding while under the influence of alcohol or drugs.
C. No Illegal Weapons, Illegal Drugs or reckless riding will be tolerated.
D. All members that operate a motorcycle must have a valid Motorcycle Endorsement, insurance and registration.
E. All motorcycles must be street legal bikes. (No Off-road Bikes)
F. All members must be safety conscious.
G. All members who operate a motor vehicle must do so safely and defensively.
H. All members are held to their own individual accountability.
I. All members are encouraged to attend as many Corporation/Chapter meetings, functions and charitable events as possible.
J. All members must obey all local, state, and federal laws.
K. All members who operate a motorcycle will ride in staggered formation on group rides.
L. All members who operate a motorcycle will use group riding signals when riding with others.
M. All members will wear the Corporation Logo at all Corporation/Chapter functions.
N. All members must agree to accept all Corporation By-Laws.
O. Any member who is more than three (3) months late in paying dues may be expelled from the Corporation/Chapter with a Corporation/Chapter Board vote. This can be avoided if special arrangements have been made
P. Any member may be expelled for conduct unbecoming a member of the Corporation/Chapter.
Q. For a member to be expelled, charges must first be made in writing and submitted to a Corporation/Chapter Board Member.
R. Accused members will be given a hearing before the Current Board of Directors, Officers, and Founding Members.
S. Current Corporation/Chapter Board of Directors, Officers and Founding Members will accept evidence from both parties prior to making its recommendation to the Corporation/Chapter Board.
T. Corporation/Chapter Board members will then present the Chapter Members and Corporation with the final decision.
U. Fines will be given to members who violate the Corporation By-Laws.
V. Corporation/Chapter Members must not be active members in any other likewise Corporation/Organization unless said Corporation/Organization has been deemed a Sister Corporation/Organization by the Voodoo Misfits Inc. (Located in Kansas City Missouri), Chapter Board of Directors, Chapter Officers and Founding Members.
W. Members must uphold the image of the Chapter and Corporation.
X. Full Members of Voodoo Misfits Inc. and any Voodoo Misfits Inc. Chapter must be at least Eighteen (18) Years of age.

i. Founding Member
a. A Founding Member is a Full Member of the Corporation who was one of the original nine members in the year 2011. Founding Members will wear a patch saying "Original 9". A Founding Member cannot be removed from the Corporation unless a Founding Member is in major violation of the bylaws of the Corporation and the Founding Fathers agree it is in the best interest of the Corporation for said violating Founding Member to be removed.
b. Founding Members will always retain a vote in all Corporation/Chapter Votes and Officer Elections regardless if a position is held unless the Founding Member is no longer a member of the Corporation or any Chapter.
c. Founding Members must uphold the image of the Corporation/Chapter.

ii. Full Member
a. A Full member is a member of good standing.
b. A Full member is an individual who has kept his/her membership current while representing the Corporation/Chapter in a positive manner.
c. A Full Member will participate in all Corporation/Chapter functions such as Charity events, Socials and Meetings.
d. Full Members must uphold the image of the Corporation/Chapter.
e. Full Members must be at least eighteen (18) years of age.

iii. Associate Members
a. To be eligible for an Associate membership, a person must invited to be an Associate Member by the Corporation/Chapter Board of Directors.
b. Associate Members do not have Voting rights.
c. Associate Members will pay for the Corporation patch and can only place the patch on a Sweatshirt.
d. Associate Members can request to have the Corporation patch placed on a vest only after being a productive volunteer at the Annual Corporation/Chapter Event. This request must be submitted to the Corporation/Chapter Board of Directors. Associate members with a patch on a vest must also have a front patch saying Associate.
e. Associate Members must uphold the image of the Corporation/Chapter.

iiii. Probationary Members

a. A Probationary member is one who aspires to become a Full Member. This individual must be sponsored by a Full member in good standing. The full probationary membership term is one (1) year
b. Probationary Members do not have Voting rights.
c. All Probationary Members must:
1. Interact well with other current Corporation/Chapter members.
2. Improve the climate of the Corporation/Chapter when present.
3. Serve a period of time (to include an unspecified amount of rides and post Meetings Corporation/Chapter functions) until a full member in good standing will sponsor the Probationary Member for membership.
4. At the completion of the Probationary Members qualifying period, a Corporation/Chapter vote will be taken into consideration with the final decision to be made from the Founding Members and Current Corporation/Chapter Board.
5. Full members can be reduced to a Probationary Member by majority vote of the Corporation/Chapter Board of Directors.
d. Probationary Members must uphold the image of the Corporation/Chapter.

iiiii. Absentee Member
a. An Absentee Member is a former Full member who is no longer able to participate in the functions of the Corporation/Chapter due to extenuating circumstances.
b. An Absentee Member no longer has voting rights.
c. An Absentee Member may continue receiving the Corporation/Chapter newsletter
d. An Absentee Member may return to Full Membership by paying the difference in dues and by vote of the Corporation/Chapter Board of Directors.


2. MEMBER DUES
The Member Dues are not to exceed $200.00 (Two Hundred Dollars) per year. If a member joins after the First of January, that individual pays only the difference for the remainder of the year. Dues shall be designated by the Corporation/Chapter Board and exact dues amount must be printed the each Chapter's Operating Policies. Chapter dues may vary from other Chapters and are based off the Chapter's location and basic costs to operate. Dues may vary according to class of membership, and shall be due on January 1 of each year and no later than January 31st of any given year. Dues may be changed or waived for members of special circumstances. These special circumstances will be taken to a Board vote. Dues for an Absentee Member will be half the Full Members fee to be reinstated. There will be a fine given for any member who is late paying his/her dues. That fine is not to exceed $1.00 per day late. All items containing the Corporation Patch/Logo must be returned, without reimbursement, if a member leaves the Corporation/Chapter.

3. MEETINGS
There shall be three (3) types of meetings: General Meetings, Board Meetings and Annual Meetings.

A. General Meetings shall be held once each month at a place and time to be determined by the Corporation/Chapter Board of Directors. The Corporation/Chapter Board of Directors shall determine at each general meeting the date, time, and location of the succeeding month's meeting, and this information shall be reported in the following month's newsletter. Two-thirds of the Members are a quorum and business can be conducted as scheduled. A majority vote of all Full Members present, and voting, shall be required for passage of all business resolutions. There shall be no proxy votes unless prior arrangements have been made through the Founding Fathers and Current Corporation/Chapter Officers. Visitors may attend Corporation/Chapter meetings if arrangements have been made prior to the meeting.

B. Board Meetings shall be held when deemed necessary by the Corporation/Chapter President. The Corporation/Chapter President shall determine the date, time, and location of each Board meeting and make this information available to the membership through the newsletter. Four (4) Board members shall constitute a quorum and business can be conducted as needed. A majority vote of all Board members present, and voting shall be required for passage of all business resolutions. Proxy votes must be arranged prior to a meeting. Board meetings will be closed unless prior arrangements have been made.
I. The Corporation/Chapter shall keep books and records of account and minutes of the proceedings of its members and Board and executive committee, if any. The Corporation/Chapter shall make available for inspection at its registered office, in the State in which the Corporation/Chapter operates, records containing the names and addresses of all members, the contact number, the address, and class and series of memberships held by each and the dates when they respectively became members of record thereof.
ii. Upon written request of any member, the Corporation/Chapter shall mail to that member its balance sheet as at the end of the preceding fiscal year, and its statement of income and expenses for that fiscal year.

C. Annual Meetings The November General Meeting shall be the Corporation/Chapter Annual Meeting. Annual Meetings will be closed to anyone that is not a current full member of a Voodoo Misfits Chapter.

ARTICLE VII
New Chapter Guidelines, Chapter Responsibilities, Process of Expulsion, National Board State/Province Boards, and National, State/Province Board Responsibilities are as follows:

NEW CHAPTERS

1. Request for New Chapter
a. Completed requests to establish a new Voodoo Misfits Chapter must be submitted in writing to Voodoo Misfits Inc. (Located in Kansas City Missouri).
b. The New Chapter Application form must identify the members that will hold the positions of President, Secretary and Two (2) other Board Positions.
c. A minimum of Four (4) members is required to start a new Chapter.
d. The New Chapter Application form is available on the Voodoo Misfits Inc. website.

2. Requirements for Members of a New Chapter
a. All New Chapter Applicants must complete the New Chapter checklist.
b.
All members of the new Chapter, including transferring members from other Chapters, shall complete a Probationary Membership Application form so it can be submitted to Voodoo Misfits Inc. (Located in Kansas City Missouri).
c.
A Probationary Membership Application form is available on the Voodoo Misfits Inc. website.
d.
The new Chapter must submit a New Chapter Application Fee of $150.00 to Voodoo Misfits Inc. (Located in Kansas City Missouri). This fee will be used to cover the costs of a New Chapter Package for the New Chapter. Packages will include: A Voodoo Misfits Chapter Handbook to all Chapters. This handbook will include, but is not limited to, Voodoo Misfits Bylaws, an example of a Chapter Operating Policy, steps to obtain legal Association, Articles of Association, Prospective Membership Application form, Certificate of Acceptance, and Chapter Agreement for the new Chapter, Access to purchase Male and Female Back Patches, Male/Female Front Patch Set including, 14 of each Voodoo Misfits Patches, Chapter Patches, Elected Rank Patches, and Appointed Rank Patches. Chapter Organized seal rubber stamp. This fee must be paid before the National Board will approve any New Chapter Application and before the New Chapter receiving their welcome package. The New Chapter Application fee in non-refundable.

3. National Board Responsibilities

a. The Kansas City Chapter and Founding Members shall be the Mother Chapter and National Board of Voodoo Misfits.
b.
The National Board and Founding Members shall be the main board of directors for all Chapters of Voodoo Misfits Inc. Founding Members will be identified by a Patch stating "Original 9".
c.
The National Board and Founding Members shall approve and authorize the formation of new Voodoo Misfits Chapters.
d.
The National Board and Founding Members shall approve and authorize the formation of new Voodoo Misfits State/Province Boards. This will also apply to countries outside North America.
e.
The National Board and Founding Members can Revoke or suspend any Voodoo Misfits Chapters that fails to maintain the integrity of the Voodoo Misfits Bylaws.
f.
The National Board shall post the Voodoo Misfits Bylaws for public viewing on the Voodoo Misfits Website.
g.
The National Board shall make an announcement of new Chapters to all other Voodoo Misfits Chapters.
h.
The National Board shall provide Certificates of Acceptance recognizing each Voodoo Misfits Chapter.
i.
The National Board shall provide a Voodoo Misfits Chapter Handbook to all Chapters. This handbook will include, but is not limited to, Voodoo Misfits Bylaws, an example of a Chapter Operating Policy, steps to form a legal association in the state of the new chapter, Prospective Membership Application form, and contact information for pertinent Voodoo Misfits Kansas City National Board members. The handbook will also include electronic media containing all the above stated documents and information.
j.
The National Board shall maintain a roster of all Chapter's Board of Directors and all Voodoo Misfits members.
k.
The National Board shall maintain the Voodoo Misfits Inc. website. The website shall include:
1. The Voodoo Misfits Inc. Bylaws
2. Links to all Voodoo Misfits Chapter Websites.
3. New Chapter Application
4. New Membership Application and when a new Application is submitted will forward the application to the Chapter President and Secretary of the Chapter the person is applying for.

4. Chapter Responsibilities:
a.
Sign a document indicating they agree to abide by and maintain the integrity of the Voodoo Misfits Bylaws.
b.
Establish individual Chapter operating policies. Each Voodoo Misfits Chapter shall complete their version of a document known as the "Chapter Operating Policy" and keep it with a copy of the Voodoo Misfits Bylaws. The Chapter Operating Policy will not override or conflict with the Voodoo Misfits Bylaws. The National Board must Approve all Chapter Operating Policies
c.
Explain in the Chapters Operating Policies any added Board/Officer/Appointed Positions that are not set forth in the Corporation Bylaws, Explain what Positions are Elected or Appointed and who appoints the Position. Add any details pertaining to just the Chapter that are not set forth in the Corporation Bylaws, Set Membership Dues Amount,
d. Keep an updated list of all Chapter members Including Full Name, Road Name, Rank, Join Date, Depart Date, Address, Phone Number, and Date of Birth.
e. All Chapters are responsible for the proper conduct and licensing of any and all fundraisers, raffles, or events that raise monies for their Chapters and do so in accordance with Local, State/Province, and Federal laws.
f.
All Chapters shall include their Chapter name on all notices, flyers and calendar entries of events, fundraisers, raffles, etc. The Mother Chapter (Kansas City) is the only Chapter allowed to use just the Voodoo Misfits Name.
g.
All Chapters shall require all Chapter members to obey all Local, State/Province and Federal laws.
h.
All Chapters shall dispose of all assets to the Voodoo Misfits Inc. Corporation (Located in Kansas City Missouri) if at such time their Voodoo Misfits Chapter should disband or be dissolved.
i. All Chapters shall have all Month end paperwork submitted to the Voodoo Misfits Inc. Corporation (Located in Kansas City Missouri) before the 10 th day of the new month. This includes but is not limited to: All Financial Files, A copy of all new member paperwork, member list, any amendments to the Chapter Operating Policy, Any Prospect Applications, Meeting Minutes, Complete List of Upcoming Events and any other paperwork requested by Voodoo Misfits Inc. Corporation (Located in Kansas City Missouri). All paperwork is submitted digitally using a cloud based system that is approved by Voodoo Misfits Inc. (Located in Kansas City Missouri). Handwritten Paperwork and Financials will not be considered valid or be accepted.
j. Understand the following Back Patch Colors. Kansas City (Mother Chapter) shall have the only top rocker that is a White background with Black lettering on the Male patch and Pink for the female patches. All other Chapters will have a Top Rocker of a Black Background with White lettering for the male patch and Purple for the Female Patches. This will help in knowing who is from the Mother Chapter. Members originating from the mother chapter and have transferred to another chapter will be allowed to wear the mother chapter patch colors if approved by the National Board. All Front Tags will match the Following Colors. Male front patches will be Black Background with White Lettering for all Chapters. Female front patches will be Black background with Pink Lettering for Kansas City and Black Background with Purple Lettering for all other Chapters. Front patches consist of one (1) patch that says Voodoo Misfits, one (1) patch that says the Chapter Name, one (1) patch that has the members rank, and one (1) patch that has the members Road Name.
k. All Voodoo Misfits Inc. Chapters must set up and maintain a Bank Account in the Name of the Voodoo Misfits Chapter. The Mother Chapter is the only Chapter allowed to set up a bank account under the Corporation Name as the Mother Chapter is the holder of the Incorporation of Voodoo Misfits Inc. The National President is required to be listed on all Voodoo Misfits Chapter Bank Accounts. It is also required that the National President have full admin status on all Social Media, and or Websites that represent any Voodoo Misfits Chapter. All Voodoo Misfits Chapters are liable for any expenses incurred by the Mother Chapter to maintain the Voodoo Misfits Chapter. This includes but is not limited to: Webhosting fees, Domain register fees, Email hosting fees, Legal fees, IRS expenses, and Federal/State/Local government expenses/fees.

5. Process of Expulsion
a. Any member who alleges that a Chapter is conducting itself in a manner that conflicts with the Voodoo Misfits Bylaws must send substantiated proof of such allegations to National Board. The National Board will proceed with the possible expulsion as follows:

1. The allegations will be provided to the Chapter in question by means of a written notification in a certified letter with return receipt. The accused Chapter will have (30) thirty days to contest the accusations.
2. The National Board will have a discussion about the allegations.
3. If the allegations cannot be substantiated a letter will be sent to the accused Chapter informing him/her of the allegations and that they cannot be substantiated.
4. If the allegations can be substantiated, a unanimous vote of the National Board and Founding Members is required to expel a Chapter. If a member from the Chapter in question is on the National Board that person will not be present in the vote for expulsion.
5. If the National Board and Founding Members decide to expel a Chapter, written notification by means of a certified letter with return receipt will be sent to the expelled Chapter indicating expulsion and the rationale thereof.
6. When formal expulsion from Voodoo Misfits Inc. is mandated, the expelled Chapter will:
a. Cease and desist from continuing as a Chapter of Voodoo Misfits Inc.
b. Forfeit any and all property with the Voodoo Misfits Inc. Name/Logo, all patches, and any Voodoo Misfits Inc. Chapter property to the National Board within (30) thirty days of expulsion notification.
c. Will have no right, title, interest or claim in any assets of the Voodoo Misfits Inc. Chapter
d. Relinquish any rights to a refund of fees or contributions by the expelled Chapter to Voodoo Misfits Inc. (Located in Kansas City Missouri).
e. Dispose of all assets to the Voodoo Misfits Inc. Corporation (Located in Kansas City Missouri).
7. The National Board will notify all Voodoo Misfits Chapters of the expulsion.
8. If the expelled Chapter President fails to comply with the request to return any and all property owned by the Voodoo Misfits Inc. Chapter within (30) thirty days, the Corporation will file a criminal complaint with the state police of the expelled Chapter's location requesting larceny charges be filed against the Chapter's President and or its General Membership. No member from that Chapter may transfer during the time of the allegations to another Chapter to escape the pending decision of the National Board.
9. If the allegations violate Federal/State/Local laws the National Board will contact the proper authorities with the allegations and turn over any information the National Board may have to help with any investigation that the proper authorities may begin against the Chapter.

6. State/Province Boards

State/Province Board Composition
A state or province that has two or more Chapters may establish a State/Provincial Board.
a. Each Chapter in the state or province shall have at least one (1) member appointed by the National Board to represent their Chapter on the State/Provincial Board.
b. The location of the State/Provincial Board is at the discretion of the National Board.
c. The Voodoo Misfits Inc. National Board has all final approval for any State/Province Board.

7. State/Province Board Authority
a. A State/Province Board does not have any governing authority over any Chapter in their state or Voodoo Misfits Inc.
b. A State/Province Board has the authority to pre-approve and pre-authorize the formation of new Voodoo Misfits Chapters in their state providing the new Chapter complies with the Voodoo Misfits Bylaws. Final approval and authorization will be given by the National Board and Founding Members.

8. State/Province Board Responsibilities
a. State/Province Boards shall provide the National Board with names, phone numbers, address, and email addresses of their Board members. The State/Province Board shall also provide the National Board with an official post office mailing address. This address will be used for official correspondence to the State/Province Board.
b. Upon pre-approval of a new Chapter, the State/Province Board shall:
1. Immediately notify the National Board of the new Chapter pre-approval.
2. Provide copies of the New Chapter Application form to Voodoo Misfits Inc. (Located in Kansas City Missouri). Only the New Chapter Application form found on the Voodoo Misfits Inc. website may be used.
3. Not proceed with planning a patching party until the National Board has approved the new Chapter, assembled a Chapter Handbook, and created a Certificate of Acceptance and Chapter Agreement for the new Chapter.
4. Provide information regarding the new Chapter patching party to Voodoo Misfits Inc. (Located in Kansas City Missouri).
5. State/Province Boards will maintain a roster of all state/province Chapter's Board of Directors and members. State/Province Boards must also keep up to date contact information for all Chapter Board of Directors in their state. This information shall be provided to Voodoo Misfits Inc. (Located in Kansas City Missouri).

9. National Board
a. The Kansas City Chapter and Founding Members shall be the Mother Chapter
b. The Kansas City Chapter Elected Board and Founding Members will be the National Board of Voodoo Misfits Inc. The Kansas City Chapter Elected Board and Founding Members may elect members from other Chapters to hold a position on the National Board.
c. The National Board will have full authority over all Voodoo Misfits Inc. Chapters.
d. The National Board will set up and announce a yearly National Meeting of all Voodoo Misfits Inc. Chapters. The Yearly National Meeting will be set at a date and location as selected by the National Board. Each Member of any Voodoo Misfits Inc. Chapter will be responsible for any costs incurred to them to attend the National Meeting.
e. The National Meeting will here on out be referred to as Voodoo Misfits Inc. Nationals.
f. The National Board will hold any Voodoo Misfits Inc. Chapter or Membership accountable for Violations of the Voodoo Misfits Inc. bylaws, Code of Values, and Chapter Operating Policies. This could include and is not limited to: Chapter Fines, Chapter Suspension, Chapter Expulsion, Board/Membership Suspension, Board/Membership Expulsion, Board/Membership Fines,

10. National Board Member Requirements
a. Members of the National Board must be Full Patched Members of a Voodoo Misfits Inc.
b. National Board members must be at least Twenty Five (25) years of age.
c. National Board members must be a full member of a Voodoo Misfits Inc. for no less than 1 (one) year.

11. Yearly Nationals

a. Yearly Nationals will announced by the National Board before January 31st of every year.
b. The meeting place for Nationals may change from year to year and the location for Yearly Nationals will be released before January 31st of each year by the National Board
c. At least 2 (two) Board Members from every chapter must attend the Yearly Nationals event.
d. Chapters are allowed to invite any other Full Members from their Chapter to the National Meeting and invitees must be approved by the National Board before they will be allowed to attend.
e. Yearly Nationals is designed as a way for members of all chapters to get to know each other and form bonds.

ARTICLE VIII
Liability, amendments to these by-laws, purchases, travel expenses, guidelines for charitable grants and dissolution of the Corporation and its Chapters:

1. NO PERSONAL LIABILITY
Members of the Corporation including the Founding Fathers, Current Chapter Members, Current Officers and Current Board members shall not be personally liable for any debt, liability, or obligation of the Corporation. All persons, Corporations, or other entities extending credit to, contracting with, or having claim against the Corporation may look only to the funds and property of the Corporation for payment of any such contract or claim, or for the payment of any debt, damages, judgment, or decree, or for any money that may otherwise become due or payable to them from the Corporation

2. AMENDMENTS
These by-laws may only be amended by a 3/4 majority vote of Founding Members and National Board of Directors in good standing. Amendments may be proposed by any Full Member and must be submitted to the National Board through a member of the Chapter Board, in writing, at least thirty (30) days before a vote.

3. PURCHASES
All Major Corporation/Chapter purchases exceeding $100.00 (One Hundred Dollars) must be voted on and accepted by the Corporation/Chapter Board of Directors. A tie vote will be decided by the President of the Corporation/Chapter. A Voodoo Misfits Withdraw form must be completed for all transactions over $100.00. All transactions including cash must be recorded in the Corporation/Chapter Financial Ledger located on a cloud based system approved by the National Board, the ledger transaction must show date of transaction, type of transaction, where transaction came from or went to, person who entered the transaction, and description of transaction. Handwritten Financial Ledgers will not be accepted. All donations consisting of any form of United States Currency (cash) must have the person(s) receiving the donation complete a Voodoo Misfits Outgoing Donation Receipt.

4. TRAVEL REIMBURSEMENT EXPENSES
Travel Expenses will be as follows:
a. Only full members may be reimbursed for travel expenses.
b. Per mile reimbursement will be based off the IRS listing for travel for Charity/Charitable purposes. This amount can be found at the IRS website. Mileage will be calculated using Google Maps and will be the shortest distance from the Chapter Office to the Meeting Location. Only the driver may be reimbursed for per mile travel expenses.
c. Ten Dollars ($10.00) for full day of travel may be reimbursed for food expenses.
d. Up to Forty Dollars ($40.00) for night of stay at a hotel may be reimbursed for travel expenses. Hotel reimbursement will only be done per room and a receipt must be provided to be reimbursed.
e. Each chapter is responsible for travel reimbursement expenses for members of their chapter.
f. The National Board will only reimburse travel expenses for members who are on the National Board and only for travel needed for National Board business.
g. Travel Reimbursement Expense will not be given for anyone who is only traveling for events or fundraisers unless approved by the Corporation/Chapter Board prior to the travel.

5. GUIDELINES FOR CHARITABLE GRANTS
The Corporation and its Chapters will have several different methods of fundraising events. Some examples may include but shall not be limited to: Motorcycle Runs, Bike Washes, sales of items/services, food/clothing drives, recycling programs, collections of items, and Breakfasts/Brunches/Lunches/Dinners. Donations collected by these fundraising events will be dispersed to other 501c3 charities, private foundations, accounts established for families where tragedy has stricken and families or individuals where medical and/or therapeutic needs have arisen. Decisions regarding recipients of charitable donations will be made by the Current Board and Founding Members of the Corporation/Chapter once a recipient has been determined, an officer of the Corporation/Chapter will confirm the books and records of the 501c3 charitable Corporations, private foundations, families, or individuals.

6. DISSOLUTION
If at any time in the future, the membership decides to dissolve the Corporation, as shown by a unanimous vote of all Full Members, after payment of all of the liabilities of the Corporation or due provision therefore, all of the assets of the Corporation shall be converted to cash and donated to a Charitable Corporation. The said Charitable Corporation must be recognized as exempt from Federal taxes under Internal Revenue Service Tax Code 501c3. Chapters that dissolve under the Corporation after payment of all of the liabilities of the Chapter or due provision therefore, all of the assets and property of the Chapter shall be transferred to Voodoo Misfits Inc. (Located in Kansas City Missouri).

**Amendment on December 30th 2014 to include More Details, Yearly Nationals, Travel Expense Reimbursement, and added General Position.
**Amendment on February 22nd 2016 to include More Details, Remove Chapter Dues, Redefine Elections, Redefine the National Board, Remove AMA Requirement, and Redefine the Voodoo Misfits Nationals.
